Terms and Conditions of CooperData

1. Introduction & Scope

These General Terms and Conditions (hereinafter referred to as “GTC”), the latest version of which can always be found at https://cooperdata.ai/terms-conditions, govern the contractual relationship (collectively referred to as the “User Agreement”) between:

• CooperHire GmbH, Rheinsberger Straße 76/77, C/O Factory Works GmbH, 10115 Berlin, Germany, registered with the Commercial Register of the District Court of Berlin (HRB 214774 B), Managing Directors: Amar Ahlers, Sohraab Joshi, email: hello@cooperdata.ai, Phone: (+49) 176 436 77706 (hereinafter referred to as “CooperData”),

and

• Any registered company or its authorized representatives making use of the CooperData platform (hereinafter referred to as the “Company”).

By registering for, accessing, or using CooperData, the Company agrees to be bound by these GTC.

2. Definitions

For the purposes of these GTC:

• Platform: The web-based software and related services provided under the name “CooperData”.

• Company: The contractual counterparty, i.e., a registered business or its authorized representative using the Platform.

• User Account: The access profile created by the Company to use the Platform.

• Input Data: Any data, prompts, or content provided by the Company to the Platform.

• AI-Generated Output: Any content, data, or information generated by the Platform based on Input Data.

• Content: All data, files, text, images, and other material uploaded, generated, or made available via the Platform.

3. Subject Matter of the Agreement

CooperData provides the Company with access to the Platform, which enables the generation of data through artificial intelligence models and related technologies. The scope of services may include APIs, integrations, analytics, and other tools.

CooperData makes no representation or warranty that AI-Generated Output will be complete, accurate, or suitable for any specific purpose.

4. Eligibility & Account Registration

4.1 Only Companies with full legal capacity may register for and use the Platform. Registration must be completed by an authorized representative of the Company.

4.2 The Company shall provide accurate and complete information during registration and keep such information up to date.

4.3 The Company is responsible for maintaining the confidentiality of its login credentials and for all activities carried out under its User Account.

5. Use of the Platform

5.1 The Company may use the Platform solely for lawful internal business purposes in accordance with these GTC.

5.2 Prohibited activities include, but are not limited to:

• Using the Platform for unlawful, harmful, or fraudulent purposes.

• Reverse engineering, decompiling, or attempting to derive source code.

• Reselling, sublicensing, or redistributing the Platform without written consent.

• Uploading content that infringes third-party rights.

5.3 The Company remains solely responsible for Input Data uploaded to the Platform.

6. AI Data & Output

6.1 Ownership of Input Data remains with the Company.

6.2 Subject to full payment of applicable fees, CooperData grants the Company a non-exclusive, worldwide, royalty-free license to use AI-Generated Output for its business purposes.

6.3 The Company acknowledges that AI-Generated Output may contain errors, inaccuracies, or third-party content. CooperData does not guarantee the originality or legal compliance of such output. The Company is solely responsible for verifying accuracy and ensuring lawful use.

7. Fees, Payment & Invoicing

7.1 The Company shall pay the fees specified in the applicable subscription plan or order form. Fees are exclusive of applicable taxes and VAT.

7.2 Payments are due within [30] days of invoice date, unless otherwise agreed.

7.3 In case of late payment, CooperData may suspend access to the Platform until all outstanding amounts are settled.

8. Service Availability & Modifications

8.1 CooperData will use reasonable efforts to ensure availability of the Platform but does not guarantee uninterrupted or error-free service.

8.2 CooperData reserves the right to modify, update, or discontinue parts of the Platform at any time, provided such changes do not unreasonably disadvantage the Company.

9. Data Protection & Confidentiality

9.1 CooperData processes personal data in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR). Details are set out in the Privacy Policy available at https://cooperhire.io/privacy-policy.

9.2 Both parties agree to keep confidential any business, technical, or operational information disclosed during the contractual relationship.

10. Intellectual Property Rights

10.1 All intellectual property rights in the Platform, including software, algorithms, databases, and design, remain with CooperData or its licensors.

10.2 Except for rights expressly granted under these GTC, no rights are transferred to the Company.

11. Third-Party Services & Integrations

The Platform may include links, integrations, or connections to third-party services. CooperData is not responsible for the functionality, legality, or availability of such services.

12. Liability & Warranties

12.1 CooperData shall be liable without limitation in cases of intent or gross negligence.

12.2 In cases of slight negligence, CooperData shall only be liable for damages resulting from the breach of material contractual obligations, limited to foreseeable damages typical for the contract.

12.3 CooperData provides no warranty that AI-Generated Output will be free from errors or suitable for the Company’s intended use.

12.4 The Company shall indemnify CooperData against claims from third parties arising from unlawful use of Input Data or AI-Generated Output.

13. Term & Termination

13.1 This Agreement commences upon acceptance of these GTC and remains in effect until terminated.

13.2 Either party may terminate the Agreement with [30] days’ notice, unless otherwise agreed.

13.3 CooperData may terminate immediately if the Company breaches these GTC or fails to make payments.

13.4 Upon termination, the Company loses access to the Platform, but payment obligations remain for services already rendered.

14. Compliance with Laws

The Company is solely responsible for ensuring that use of Input Data and AI-Generated Output complies with all applicable laws, including intellectual property, data protection, and export control regulations.

15. Governing Law & Jurisdiction

These GTC shall be governed exclusively by the laws of the Federal Republic of Germany. Place of jurisdiction for all disputes is Berlin, provided the Company is a merchant under the German Commercial Code.

16. Changes to the Terms

CooperData reserves the right to modify these GTC at any time. The Company will be notified of changes in text form. Continued use of the Platform constitutes acceptance of the updated GTC.

17. Severability

If any provision of these GTC is held invalid or unenforceable, the remaining provisions shall remain valid and enforceable.
